Terms and Conditions

Contract of services

The following terms outline the overall working relationship you can expect if you choose to work with me. If you have any questions please feel free to contact me.

General terms

  • These terms and conditions apply to any work done for the Client (you) by me (Marianne Coote of EMC Editorial Services).

  • The Client is under no obligation to offer me work; neither am I under any obligation to accept work offered by the Client.

  • I will provide service(s) as mutually agreed, confirmed in writing by myself and the Client.

  • The work will be carried out unsupervised at such times and places as determined by me, using my own equipment.

  • I confirm that I am self-employed, am responsible for my own income tax and National Insurance contributions and will not claim benefits granted to the Client's employees.

  • I am not VAT registered.

  • The Client agrees that any proofreading or proof-editing completed by me does not guarantee consequences including: acceptance of the Client’s manuscript for publication, peer review for a desired publication, or any specific academic mark/grade.

Project terms

Prior to commencement of the proofreading/proof-editing work, the Client and I will agree, in writing (including email), the terms of the project:

  • the medium in which the proofreading/editing service will be carried out (e.g. in Word, on PDF, on paper)

  • how the material will be annotated (e.g. Track Changes in Word, comment tools in Adobe, BSI correction symbols on paper)

  • the length of time required to complete the project, as advised by me

  • a fee for the project, based on a quotation supplied by me, in writing (including email), following my evaluation of the material to be proofread/edited and the time frame required to complete the job

  • any expenses (e.g. postage) that the Client will bear in addition to the costs of the proofreading/editing

  • the date by which the material will be delivered by the Client to me

  • the latest date by which the completed project will be returned, following my advice to the Client

Please note that if, on receipt of the project to be worked on (or at an early stage), it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief or from the sample supplied, I may renegotiate the fee and/or the deadline, or decline to carry out the work.

Fees and deposits

  • The Client will pay me a fee per hour OR per printed page OR an agreed flat fee for the job, plus VAT where applicable.

  • I require a deposit of 50% of the quoted price from all clients prior to the commencement of each project. Work will not begin until I have received this deposit.

  • All deposits are non-refundable.

  • The Client agrees that the price quoted is for one pass and one revision. Any further work will need to be negotiated.

  • Unless agreed otherwise at the outset, payment will be made within 30 days of receipt of my invoice, according to the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).


  • Any content created by me as part of the proofreading or proof-editing process will become the copyright of the Client.

  • In this respect, the Client agrees to hold me harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them.

  • I may use the Client's name, title of work and cover image (if applicable) in my promotional material.


  • The information that the Client and I may keep on record is covered by the terms of the General Data Protection Regulation. No more such information will be held than is necessary, at any time, to comply with those terms and with any compliance statement or privacy policy published by the Client and/or me. Both the Client and I agree that, where consent is required to hold or process such data, such consent has been requested and obtained and both facts can be demonstrated. Either may view the other’s records to ensure that they are relevant, correct and up to date.

  • The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.

  • I will not, under any circumstances, upload the Client’s files to external websites or distribute them to third parties unless specifically authorised to do so, in writing, by the Client.

  • I guarantee that any work that I subcontract on behalf of the Client will be completed to the same standard, schedule and budget and with the same conditions of confidentiality.

Cancellation policy

  • Either the Client or I have the right to terminate a contract for services at any time by providing written notice (including email).

  • The Client has the right to cancel a service for any reason by giving me written notice. I must acknowledge receipt of this notice in writing (including email) for the cancellation to be valid.

  • The Client will remain obligated to pay the deposit plus any additional fees proportionate to the work already carried out.

  • I may cancel a service at any time, for any reason by providing written notice to the Client. In this unlikely event, I will provide a prorated refund.

Legal Authority

  • This agreement is subject to the laws of England and Wales, and both the Client and I agree to submit to the jurisdiction of the English and Welsh courts.
